ARTICLE I
Name and Purpose
1. The name of this organization shall be "TEXINS SAILING CLUB",
hereafter referred to in this document as TSC or club.
2. The purpose of TSC is to facilitate the sport of sailing to
the Texas Instruments community, their families and friends.
3. The objectives of TSC shall be to:
a) Provide training in the basics of sailing enabling
participants to skipper a centerboard sailboat less than
20 feet in length. Good seamanship and water safety will
be emphasized. All TSC training will comply with the
Texas Water Safety Act. Wherever possible, TSC shall
align its training with national sailing organizations.
b) Promote the enjoyment of the sport by providing club
sponsored events to enable skill development through
racing, cruising and seminars.
c) Provide economical sailboat rentals to qualified members.
d) Establish relationships with local sailing schools, clubs
and charter services to provide members with avenues for
growth to extend their sailing skills beyond the resources
of TSC.
4. TSC is a member club of the Texins Association Clubs, hereafter
referred to in this document as TAC. No article or section of
these bylaws may exempt or diminish the bylaws of TAC, nor the
spirit established in its purpose. However, additional
directives or restrictions may be included in these bylaws to
provide for effective execution of TSC objectives.
ARTICLE II
Membership
TSC membership requirements shall reflect the TAC bylaws and are
approximated as follows:
1. Associate membership eligibility:
a) Any employee of Texas Instruments Incorporated, hereafter
referred to in this document as TI, including full-time or
part-time and regular or temporary employees, and members of
their immediate family.
b) Retirees and former employees of TI, and immediate family.
c) Any current employee or retiree of TI affiliates restricted
to those entities and their sites that have been in continuous
operation with active TAC members since TI's divestiture of
those businesses, and to entities of future TI divestitures
with active TAC members that from time to time are approved
by the Board of Directors of TAC, and their immediate family.
d) Member shall be located within the geographic United States.
2. Public membership eligibility:
a) Members may be drawn from the general public and shall
constitute a maximum of 25% of the total membership. To reflect
the intent of Article I, paragraph 2, public membership shall
include those people known by an affiliate member.
3. All members shall be eligible to hold an elected office or to vote
in club elections during general membership meetings or any special
election as presented by club officials.
ARTICLE III
Executive Board
The Executive Board shall be responsible for the strategic direction
of the club. The property and programs of the club shall be managed
by the Executive Board, which may exercise all such powers of the club
under the Bylaws of both the TSC and TAC.
1. The Executive Board shall consist of the following officers:
a) Commodore
b) Rear-Commodore, Training
c) Rear-Commodore, Fleet
d) Treasurer
2. The Executive Board shall be elected by a majority of the TSC
membership at the fall general meeting.
3. The terms of office shall be the calendar year immediately
following election.
4. The Executive Board positions may not be combined or divided among
the individuals serving.
5. The Executive Board member must be a TSC member in good standing.
6. The duties of the Executive Board shall be as follows:
a) The Commodore will preside over all meetings of TSC and will
be the primary liaison with TAC. The Commodore will be
responsible for the content and execution of all TSC events
not directly related to training. The Commodore will be
responsible for the content of the official TSC web site and
any advertising or printed materials generated by TSC.
b) The Rear-Commodore, Training will be responsible for the
content and execution of all TSC training activities, the
acquisition and management of training materials, and will
act as liaison with national sailing organizations.
c) The Rear-Commodore, Fleet will be responsible for the
management of all club boats, their use and maintenance in a
seaworthy condition, and advise the executive board of
abnormal repairs and recommended replacements.
d) The Treasurer will be responsible for the planning, execution
and tracking of the TSC financial budget, and act as the
secondary liaison with TAC. The Treasurer will oversee all
TSC related financial transactions and be responsible for
the reconciliation of club financial records.
ARTICLE IV
Officers
Additional officers of the TSC shall be appointed by, and their duties
determined by, the Executive Board, to assist in the implementation of
TSC policies and programs.
1. Appointed officers may consist of, but are not limited to:
a) Past Commodore
b) Recording Secretary
c) Membership Secretary
d) Promotions Officer
e) Charter Officer
f) Racing Officer
g) Web Administrator
h) Newsletter Editor
i) Chief Instructor
j) Rental Officer
k) Maintenance Officer
2. The listed positions above may be combined or divided, or new
positions created as determined by the Executive Board pursuant
to the needs of club property and programs.
3. Appointed officers must be a TSC member in good standing.
4. The terms of office shall be the calendar year coinciding with the
term of the Executive Board. An appointed position may be
terminated at any time during the calendar year as determined by
the Executive Board.
5. The duties of TSC officers may be as follows:
a) The Past Commodore will act as advisor to the Executive Board
during the first term of a new Commodore.
b) The Recording Secretary will keep a record of any business
conducted during club meetings.
c) The Membership Secretary will keep the membership records
up-to-date and maintain a mailing list of active members.
d) The Promotions Officer will organize and publicize all club
activities with the help of club volunteers.
e) The Charter Officer will organize the charter activities with
the help of club volunteers.
f) The Racing Officer will organize and administer all TSC racing
activities with the help of club volunteers.
g) The Web Administrator will be responsible for establishing
and/or maintaining the official TSC web site domain, it's
structure and content, and act as liaison to the web services
provider.
h) The Newsletter Officer will create, publish and distribute the
club newsletter.
i) The Chief Instructor will be responsible for developing the
instructional staff and maintaining consistency in training
content and techniques.
j) The Rental Officer will be responsible for maintaining and
executing the club rental program.
k) The Maintenance Officer will be responsible for maintaining
all TSC boats in seaworthy condition with the help of club
volunteers. Outside contractors may be used if necessary
skills or facilities are not readily available.
ARTICLE V
Meetings
1. The general membership shall meet once in the spring and once in
the fall of each year, and may meet from time to time during the
remainder of the year as determined by the Commodore.
2. The Executive Board and appointed officer staff may meet as
required to conduct club business.
3. The time and place of club meetings will be determined by the
Executive Board and published via e-mail.
4. A quorum of ten percent of the membership will be required for the
transaction of TSC business at general membership meetings.
5. A quorum of 40 percent of all club officers will be required for
the transaction of TSC business at full officer meetings.
6. A quorum of 51 percent of the Executive Board will be required for
the transaction of TSC business at Executive Board meetings.
7. The right to vote is extended to all members in good standing, one
vote per member.
8. Business requiring a vote may be conducted at formal meetings, or
by the use of e-mail, US mail, facsimile, or telephone
communication.
ARTICLE VI
Equipment Rental
1. The TSC may acquire sailboats and related equipment for rental to
members.
2. Only qualified members are eligible to rent club equipment. The
Rental Officer will verify qualifications, relying on the
Rear-Commodore, Training, club records, or other references
as he or she sees fit.
3. The TSC may require a security deposit for such rental.
4. Renters are liable for damage to or loss of rented equipment due to
negligence up to the amount of any insurance deductible that
applies.
ARTICLE VII
Operating Funds
1. The dues and fees of the TSC will be set by a vote of the Executive
Board.
2. All members will pay annual dues for the period January 1 to
December 31. There will be no discounts for members who join TSC
during the course of the year.
3. Operating expenses, capital expenditures and other payments
necessary to provide services to the club will be handled in
accordance with the regulations of the TAC. The Commodore or the
Treasurer must approve the Expenditure Authorization. If either
makes the expenditure, the other must approve the reimbursement.
ARTICLE VII
Amendments to Bylaws
1. All amendments to these Bylaws must first be approved by simple
majority vote of the Executive Board, then by two-thirds majority
vote of the TSC membership.
2. Proposed amendments must be presented to the membership for review
no later than 14 days prior to the voting date.
3. Voting may be conducted by email, US mail, facsimile, or at a
general or special meeting.
4. Amendments passing a membership vote will take effect immediately.
5. Amendments that fail to pass a membership vote shall not be
presented again for the remainder of the calendar year.
